WatuPath Advisory – Terms of Use

Subject to your compliance with these Terms, WatuPath grants you a limited, non-exclusive, non-transferable, non-sublicensable, freely revocable licence to access and use the Site solely for your personal, non-commercial, lawful purposes and provided you retain all copyright, trademark and other proprietary notices contained in the Site.

• “Content” means all texts, graphics, images, audio, video, data, compilations, software, and other materials made available on or through the Site.
• “Services” means advisory, consulting, training, knowledge‐management or other professional services offered by WatuPath (whether described on the Site or by proposal).
• “User Materials” means any content or materials you upload, post or transmit via the Site.

All intellectual property rights (including copyright, trademarks, service marks, trade names, database rights and other proprietary rights) in the Site and the Content are owned by or licensed to WatuPath (or its licensors). Except as expressly permitted under clause 1, you must not reproduce, distribute, publish, modify, create derivative works from, transmit, adapt, link or otherwise use the Site or Content without WatuPath’s prior written permission.

All rights not expressly granted are reserved.

You agree to use the Site and services for lawful purposes only, and to comply with all applicable laws and regulations. In particular you must NOT:

• Use the Site in any way that infringes the rights of others or prohibits or restricts anyone else’s use of the Site.
• Use the Site to upload, post or transmit any material which is unlawful, defamatory, obscene, threatening, harassing, harmful to minors, or otherwise objectionable.
• Introduce viruses, Trojan horses, worms, logic bombs or other malicious or technologically harmful material.
• Attempt to gain unauthorised access to the Site, or any server, computer or database connected to the Site.
• Use any automated means (robots, spiders, scraping tools, data mining) to access or monitor the Site without WatuPath’s prior written permission.

If you upload or provide any User Materials via the Site (e.g., comments, feedback, drafts):

• You grant WatuPath a worldwide, royalty‐free, irrevocable, non‐exclusive licence to use, copy, adapt, publish and distribute your User Materials in connection with the Site and our business.
• You represent and warrant that you own or have the necessary rights in the User Materials, and that your use and submission of them will not violate any law or the rights of any person.
• WatuPath reserves the right to remove or refuse to publish any User Materials in its discretion.

The Content on the Site is provided for general informational purposes only and does not constitute (and should not be relied upon as) professional, legal, tax, investment or other advice. You should obtain your own independent professional advice before acting or refraining from acting on the basis of any Content or services described on the Site.

The Site may include links to third-party websites or resources for your convenience. WatuPath is not responsible for and does not endorse or guarantee the accuracy or availability of those websites or resources. Accessing them is at your own risk.

WatuPath does not guarantee that the Site will be uninterrupted or error-free, or available at any particular time. We may suspend, withdraw or change all or any part of the Site without notice for business or operational reasons. We may also amend these Terms from time to time by posting a revised version on the Site with an updated “Effective date”. Your continued access or use of the Site after such posting constitutes acceptance of the revised Terms.

To the fullest extent permitted by law:

• The Site and Content are provided “as is” and “as available” without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for purpose or non-infringement.
• WatuPath, its officers, directors, employees, agents and licensors shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages, loss of profits, business interruption, loss of data, loss of opportunity or other losses arising from or in connection with your access to or use of the Site or reliance on any Content.
• Nothing in these Terms shall exclude or limit our liability for death or personal injury resulting from our negligence, or for fraud or other liability which cannot be excluded under applicable law.

You agree to indemnify, defend and hold harmless WatuPath and its affiliates, officers, directors, employees, agents and licensors from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (i) your breach of these Terms; (ii) your use of the Site; or (iii) your violation of any rights of another person.

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. You agree to submit to the non-exclusive jurisdiction of the courts of Tanzania with respect to any dispute arising out of or in connection with these Terms or your access to or use of the Site.

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms without affecting the validity and enforceability of the remaining provisions.

These Terms (together with our Privacy Policy and any other legal notices posted on the Site) constitute the entire agreement between you and WatuPath in relation to your access to or use of the Site, and supersede all prior agreements or arrangements (whether written or oral) between you and us.
